Half a million entities face deregistration by SA business regulator

Date: Nov 28, 2024

The Companies and Intellectual Property Commission (CIPC) of South Africa (SA) has announced its intention to deregister over 500 000 companies and close corporations.

This drastic measure comes as a result of these entities' failure to comply with the filing of Annual Returns and Beneficial Ownership declarations.

The CIPC issued a statement following a notice in September, which cautioned about the repercussions of non-compliance with these statutory requirements.

Rory Voller, a Commissioner at the CIPC, emphasised the mandatory nature of these filings. "It's a legislative requirement to maintain compliance by submitting annual returns," he stated.

These returns are critical for keeping the regulator informed of any changes within the company or confirming that no changes have occurred.

Despite a generous two-year grace period provided for these filings, entities that have neglected this duty for over two years are now at risk of deregistration. Voller's announcement serves as a stern reminder of the legal obligations that come with corporate operations in SA.
